Our Corporate department provides practical and expert advice on all aspects of buying, selling, structuring and investing in businesses. We regularly liaise with specialists in our other commercial teams to provide a comprehensive service. 

We work with a range of business, with particular focus on providing advice to financial institutions, high-net-worth individuals, family owned and owner managed businesses, private investors, mid-level corporates and start-ups. The team is recognised in the Legal 500 for its work in the lower-mid market (£10m-£100m transactions).

Our key areas of expertise include acquisitions and disposals, restructurings and reorganisations, private equity and venture capital, joint ventures, shareholder agreements, fundraising and investment and LLPs and partnerships. 

This is a fantastic opportunity for an ambitious Associate to join a small, yet growing team, and help to shape the development of the department.  The Associate will work directly with four partners and will have daily exposure to a vast range of clients. We are a dynamic firm, and our Associates are actively encouraged to develop their own network while taking an active role in business development.

Job Duties and Responsibilities:

  • Responsibility for running your own deals including:
    • Drafting and negotiating heads of terms, asset/share purchase agreements and disclosure letters
    • Managing disclosure process including drafting/ responding to due diligence requests and preparing due diligence reports
    • Drafting ancillaries and managing deals to exchange and completion
    • Dealing with post completion matters
  • Maintaining your expertise by staying up to date with new legal developments and changes in legislation, meeting CPD and compliance requirements
  • Working collaboratively with others and contribute to a positive, professional and inclusive working environment, aligned to JMW’s values
  • Involvement with business development activities
  • Ability to build and establish strong relationships with the firm’s client base

Knowledge, Skills and Experience Required:

This role would suit an ambitious Associate from a leading Corporate practice, ideally at the 3-6 PQE level, however candidates outside of this will also be considered.

  • Experience of transactional mergers and acquisitions, acting for buyers and sellers on share and assets and sales/purchases
  • Be comfortable with dealing with clients directly and have an enthusiasm for business development
  • Strong analytical and problem-solving skills to arrive at the best legal solutions
  • Excellent ability to communicate, with strong drafting skills
  • Strong team working ethic
  • Ability to work well under pressure and be proactive
  • Good financial performance
  • Excellent IT skills particularly with experience in Word, Excel and Outlook
  • Ambitious mindset and driven to progress
  • An interest in business development
