JMW’s commercial litigation team helped a client in the parking sector resolve a complex contractual dispute with a major health and fitness company, avoiding the need for court action and preserving their business relationship.

The Case

Our client (Party A), a business operating in the parking sector, approached us with a complex contractual issue involving a large company in the health and fitness industry (Party B). Party A had entered into a five-year contractual agreement to manage parking facilities across several sites operated by Party B. However, Party B later challenged the validity of the agreement, arguing that the individual who signed on their behalf lacked the authority to bind the company, rendering the agreement void.

This raised serious concerns for our client, not only due to the financial implications of a potential termination of the contract in question, but also because of the broader commercial relationship they hoped to maintain with Party B.

Our client’s objective was to maintain the commercial relationship between the parties, and so we focused on a resolution strategy that balanced the legal position with commercial sensitivity. We engaged directly with Party B’s lawyers and senior leadership, ensuring our communications were constructive and aimed at preserving goodwill.

Ultimately, we were able to facilitate a meeting between the two parties without legal representatives having to be present. The direct dialogue allowed both parties to speak openly, clarify misunderstandings and explore a way forward without the contractual fallout escalating any further.

The Outcome

The outcome of the parties’ meeting was a positive one, resulting in the agreement of a new contract that reflected both parties’ intentions and allowed them to continue their commercial relationship on a sound legal footing.

Our client was pleased to have reached an outcome which preserved their relationship with Party B, something which is not always achievable in commercial disputes.
